Terms of Service

These Terms of Service ("Terms") govern your access to and use of useflowstate.ai and the Flowstate app (together, the "Service"), operated by Flowstate ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

Flowstate is a software tool for sales reps. It includes a daily activity tracker, Sandy (an AI coach), a 90-day structured onboarding program, and training modules. The Service is provided on a subscription basis.

2. Eligibility and Accounts

You must be at least 18 years old to use Flowstate. You agree to provide accurate information when you create your account and to keep it up to date. You're responsible for all activity on your account and for keeping your password secure. Notify us immediately at sandy@useflowstate.ai if you suspect unauthorized access.

3. Subscription, Trial, and Billing

• Flowstate is offered at $39/month after a 7-day free trial.
• Your card is authorized at sign-up but is not charged during the trial.
• At the end of the 7 days, your subscription automatically renews monthly at $39/month until you cancel.
• All fees are billed in U.S. dollars and are exclusive of applicable taxes.
• We may change pricing for future billing cycles; we'll notify you before any change takes effect.

4. Cancellation

You can cancel at any time with one click from your dashboard or by emailing sandy@useflowstate.ai. Cancellation takes effect at the end of the current billing period. You keep access through the paid period and you will not be billed again.

5. Refunds

Refunds are handled under our Refund Policy. Summary: no charge during the 7-day trial, and if you forget to cancel, email us within 3 days of the renewal charge and we'll refund it.

6. Acceptable Use

You agree not to:

• Use the Service for anything illegal, fraudulent, or harmful.
• Attempt to reverse engineer, copy, scrape, or resell the Service.
• Share your account credentials or allow someone else to use your account.
• Interfere with, disrupt, or probe the Service's infrastructure.
• Upload content that is unlawful, infringing, or abusive.

We may suspend or terminate accounts that violate these rules.

7. Your Content

You retain ownership of anything you enter into the Service (metrics, notes, goals). By using Flowstate, you grant us a limited license to store, process, and display that content solely to provide the Service to you. We do not sell your content or use it to train third-party AI models.

8. Our Intellectual Property

The Service, including all software, design, course content, and branding, is owned by Flowstate and protected by intellectual property laws. We grant you a personal, non-transferable, non-exclusive license to use the Service for its intended purpose during your active subscription.

9. Disclaimers

The Service is provided "as is" and "as available". We do not guarantee any specific sales result, income, or outcome from using Flowstate. The tool helps you track and improve; the work is still yours. To the maximum extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent allowed by law, Flowstate's total liability to you for any claim arising from or related to the Service will not exceed the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data.

11. Indemnification

You agree to defend and indemnify Flowstate from any claim, damage, or expense arising out of your use of the Service, your content, or your violation of these Terms.

12. Termination

You can terminate your account at any time via cancellation. We may suspend or terminate your account if you violate these Terms or if we need to for legal, security, or business reasons. On termination, your right to use the Service ends immediately.

13. Changes to the Service and Terms

We may update the Service and these Terms from time to time. If we make material changes to the Terms, we'll notify you by email or in-app notice. Continued use of the Service after changes take effect means you accept the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.

15. Miscellaneous

If any part of these Terms is held unenforceable, the rest still applies. Our failure to enforce a provision is not a waiver of our right to enforce it later. These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Flowstate.
